Agreement to Terms
The Ingrid platform (“Service”) is provided by Ingrid Solutions Inc. (“Ingrid”). By accessing or using the Service, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Service. These Terms apply to all users, including visitors, registered users, and organizations.
Service Description
Ingrid is a business platform with a built-in assistant that provides:
- AP invoice management and automation
- AR collections and dunning workflows
- Document management and search
- Integration with accounting systems
- An assistant, Ingrid, for business queries
Account Registration
Eligibility
You must be at least 18 years old and have the legal authority to enter into contracts to use our Service. By registering, you represent that all information you provide is accurate and current.
Account Security
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorized access or security breach
- You are liable for all activities conducted under your account
- We reserve the right to suspend or terminate accounts that violate these Terms
Acceptable Use Policy
You agree NOT to:
- Use the Service for illegal purposes or in violation of any laws
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems or other users’ accounts
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated tools to scrape or extract data from the platform
- Impersonate another person or entity
- Interfere with or disrupt the Service or servers
- Transmit spam, unsolicited messages, or fraudulent content
- Violate intellectual property rights
Data and Privacy
Your use of the Service is also governed by our Privacy Policy. Key points:
- You retain ownership of all data you upload to the platform
- You grant us a license to process your data to provide the Service
- We implement enterprise-grade security measures to protect your data
- You are responsible for ensuring you have rights to upload any data
Payment Terms
Subscription Fees
Fees are set out in your order or agreement with Ingrid. All fees are:
- Invoiced in advance on a monthly or annual basis
- Non-refundable except as required by law
- Subject to change with 30 days’ notice
- Exclusive of applicable taxes and fees
Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current subscription period. No refunds are provided for partial months or unused services.
Intellectual Property
Our Rights
All intellectual property rights in the Service, including software, design, trademarks, and content, are owned by or licensed to Ingrid. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
Your Content
You retain all rights to content you upload. By uploading content, you grant us a worldwide, royalty-free license to use, store, and process that content solely to provide the Service.
Ingrid’s answers and suggestions
Ingrid’s features provide intelligent assistance but are not infallible:
- Ingrid’s results should be reviewed and verified by humans
- We do not guarantee 100% accuracy in Ingrid’s processing
- You are responsible for final decisions based on Ingrid’s recommendations
- Your specific business data is never shared with other users
Third-Party Integrations
The Ingrid platform integrates with third-party accounting systems. You are responsible for:
- Maintaining valid licenses for third-party services
- Ensuring proper configuration and permissions
- Complying with third-party terms of service
- Data synchronization accuracy and integrity
Service Availability
We strive to provide reliable, uninterrupted service but do not guarantee:
- 100% uptime or availability
- Error-free operation
- Uninterrupted access during maintenance windows
- Compatibility with all devices and browsers
We will provide reasonable notice for scheduled maintenance and work to minimize disruptions.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The Service is provided “AS IS” without warranties of any kind
- We are not liable for indirect, incidental, or consequential damages
- Our total liability is limited to the amount you paid in the last 12 months
- We are not responsible for data loss - you must maintain backups
- We are not liable for third-party integration issues
Indemnification
You agree to indemnify and hold Ingrid harmless from any claims, damages, or expenses arising from:
- Your violation of these Terms
- Your misuse of the Service
- Your violation of third-party rights
- Content you upload or actions you take
Termination
We may suspend or terminate your account:
- For violation of these Terms
- For non-payment of fees
- For fraudulent or illegal activity
- At our discretion with or without cause
Upon termination, you must cease using the Service. We will provide reasonable access to export your data for a limited time after termination.
Changes to These Terms
We reserve the right to modify these Terms at any time. Significant changes will be communicated via email or platform notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.
Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. Any disputes will be resolved through:
- Good faith negotiation
- Binding arbitration if negotiation fails
- Jurisdiction in the courts of Toronto, Ontario
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ingrid Solutions Inc. regarding the Service. They supersede all prior agreements and understandings.
